About the price, the business, location, and French colonial-era building are sound. Just a word of caution, as word goes (caveat: no specific details), a major purchaser passed on the location, and chose another location instead, which had (as word goes) structural problems, and could no longer continue (never opened). Buyer beware, esp. if someone offers a price too good to be true. More I cannot speculate further.

The owner has known many people for many years, and seeks someone who cares for his tradition, style and many regulars. It's a European-based venue, but with many adaptations (Asian and Intercontinental cuisine, a terrace to view the Riverside, Asian antiques, unique art work, art decor furnishings, awnings, spray misters, etc., etc.)
Keep in mind businesses in Cambodia for even very experienced restauranteurs often only last a year or two. How the owner and his location survived for 21 years straight speaks to his commitment to excellence, in good and bad times, thick and thin. His experience and foresight can be the difference for success for any investor on the Riverside in Phnom Penh.
It's a full-service, centrally located restaurant, bar and music venue with parking for a full-size passenger bus out front. The recent (ground floor) expansion has almost doubled the capacity to 100+ people very comfortably.

Yup, taxes are fucked. Better off opening a new legal vehicle and taking over the lease with a purchase of assets arranged. The current owners close the existing company which subjects it to a closing tax audit. I assume the guy does a runner at that point once under audit.
